Terms & Conditions

Sov Agency is a data-driven marketing agency offering monthly content, advertising, and social media management services. As part of our engagement, Clients receive access to a proprietary dashboard ("Dashboard") that connects to the Client's authorized social media and advertising accounts (including but not limited to TikTok, Instagram, Meta, and Google) to display performance analytics, creative plans, recordings, KPIs, and related campaign data.

2.1 Services are delivered under a monthly recurring engagement unless otherwise agreed in writing.

2.2 Invoices are issued monthly in advance. Payment terms are 14 days net unless otherwise specified.

2.3 Either party may terminate the engagement with one (1) calendar month written notice, effective at the end of the following calendar month, unless a separate fixed-term agreement applies.

3.1 You are responsible for maintaining the confidentiality of your Dashboard credentials.

3.2 You authorize Sov Agency to connect to and retrieve data from the third-party platforms you link (e.g., TikTok Business, Instagram Business, Meta Ads, Google Ads) solely for the purpose of delivering and reporting on the Services.

3.3 You represent that you are authorized to grant such access for the accounts you connect.

The Service integrates with third-party platforms. Your use of those platforms remains subject to their own terms (including the TikTok Terms of Service, Instagram Platform Policy, and Meta Platform Terms). Sov Agency is not responsible for the availability, accuracy, or behaviour of these third parties.

5.1 Data retrieved from connected platforms is used to (a) deliver the Services, (b) generate analytics and reports for the Client, and (c) improve our internal benchmarks, models, and analytical capabilities in an aggregated and de-identified form across all our clients.

5.2 We do not sell Client data to third parties.

5.3 Detailed information about personal data processing is set out in our Privacy Policy.

6.1 All deliverables created specifically for the Client (such as edited videos, graphics, and copy) transfer to the Client upon full payment.

6.2 Sov Agency retains all rights to its proprietary tools, dashboard, templates, frameworks, internal benchmarks, and aggregated insights.

6.3 The Client grants Sov Agency a non-exclusive, royalty-free licence to use deliverables and connected-account performance data for portfolio, case-study, and benchmarking purposes in anonymised or aggregated form, unless otherwise agreed in writing.

Both parties agree to keep confidential any non-public information received from the other party and to use it only for the purposes of the engagement.

You agree not to: (a) use the Service for unlawful purposes; (b) attempt to reverse-engineer the Dashboard; (c) upload malicious code; (d) misuse another party's accounts or data through the Service.

The Service is provided "as is". We do not guarantee specific marketing, advertising, or revenue outcomes. Performance of paid media depends on factors outside our control, including platform algorithms and market conditions.

To the maximum extent permitted by law, Sov Agency's total aggregate liability arising out of or in connection with the Service shall not exceed the fees paid by the Client to Sov Agency in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

We may suspend or terminate access to the Service immediately if the Client breaches these Terms, fails to pay outstanding invoices, or uses the Service in a manner that risks platform or legal violations.

These Terms are governed by the laws of the Netherlands. Disputes shall be submitted to the competent court of Amsterdam.

We may update these Terms from time to time. Material changes will be communicated by email or via the Dashboard at least 14 days before taking effect.
